What was the situation or challenge where you turned to Morris Law?
We were raising capital, which eventually led to Nordic Capital becoming a part-owner of HJO Installation. With around 50 portfolio companies, we saw the need for a solid red-flag report to attract as many potential investors as possible.
What was important to you when choosing legal advisors for that specific situation?
Knowledge, agility, and a down-to-earth approach. We've been called “the farmers from Hjo,” and we actually like that – we take pride in being straightforward and grounded.
How would you describe your collaboration with Morris Law – in both their way of working and the people you worked with?
It was great. The work became very intense, and everyone really stepped up. During that period, we probably had more contact with the Morris team than with our own families. Everyone involved was professional, and on a few occasions, we had to align on materiality thresholds.
What concrete benefits or outcomes did you experience as a result of working with Morris Law?
We got a comprehensive red-flag report, support throughout the process, and assistance with negotiating the SPA and a new shareholders’ agreement. Since we have more than 300 shareholders, Morris also helped provide clear and accessible information to all of them.
If you were to describe Morris Law to someone who’s never worked with them – what would you say?
Professional and pleasant to work with. As with any similar project, it’s important to agree on scope and materiality levels from the start.
